本文所述條款及條件（統稱為：“協議”）構成你與Jobber Limited（一間根據香港法律成立的有限責任公司）及其下屬機構、附屬機構及關聯公司（“公司” 或“我們”）之間的合法協議。 公司保留在任何時候修訂本協議條款和條件、或其有關服務或應用政策的權利，並從張貼最新版本的服務或應用協議之日起生效。 1. 公司不提供任何招聘服務，亦不是招聘機構。應由第三方僱主提供就業，並由第三方員工接受聘用。公司無意提供招聘服務或作為招聘機構行事，對任何招聘服務均不承擔任何責任。 2. 本服務是一個交流平臺，它把第三方僱主（“客戶”）和第三方僱員（“工作方”）聯繫起來。客戶是從工作方尋求工作服務（“工作”）的個體及/或公司，因此，是工作方的客戶。而工作方是尋求為客戶進行工作的個體及/或公司。客戶和工作方在以下一起稱之為“用戶”。 3. 本服務是一個聯繫使用者完成工作的平臺，但公司對用戶的表現不承擔責任，亦不對工作的品質、時效性、合法性、失效、或其他任何方面進行管控。公司亦不對工作方提供的工作品質、時效性或合法性進行管控。不論是通過公開的、私下的、或是離線互動的服務來確定身份的使用者所要求和提供的工作適用性、可靠性、時效性或準確性，公司均不做任何陳述。 4. 客戶和工作方在註冊之前及在他們使用服務期間可能要經過大量的審批程序，包括但不限於身份的確認，對其在香港的刑事及破產/清償背景的廣泛調查。用戶特此同意公司按照香港法律要求經常進行背景調查。 5. 雖然公司可根據要求對使用者進行上述背景檢查，但公司不會去確認他們投訴的每一位用戶身份，因此，公司不能，亦不會對背景調查資訊或通過服務所提供的任何資訊之準確性或可靠性承擔任何責任。 6. 在與用戶互動時，你須保存謹慎的態度和常識，以保護自身安全和財產安全。為免生歧義，公司特此再次確認，公司不對用戶的任何行為負責，公司對與此服務有關的任何索賠、人員傷害或損失概不承擔責任。 7. 用戶與其他用戶直接訂立工作合約，公司不構成任何工作合約或服務中的一方。 8. 客戶須負責支付每一項工作的發票金額（“發票”），包括經工作方同意並提供的工作價格條款（“工作款”），經工作方同意及提交的有關工作的雜項費用、小費或酬金，如適用，及公司根據工作款金額評估的服務費用。為免誤解，公司對任何該等金額都完全不承擔付款責任。 9. 工作方需向公司提供付款的銀行賬戶細節。客戶在通過服務或電郵收到工作已完成的確認信之後的24小時內，客戶授權公司通過電郵向客戶發出使用該服務應支付給公司的費用，以及，如適用，應支付給工作方的工作款、雜項費用和小費或酬金。如果你預訂了一項工作，但在完成之前又取消了，按照工作價格條款規定，會向你收取一筆取消費。 10. 公司自行決定保留（但無此義務），（i）扣留任何工作款和雜項費用，或(ii) 退款的權利。 11. 客戶通過使用服務確認本協議項下給客戶所提及的工作方是指有關短期、兼職、合約、諮詢性質的聘用。除原本永久性安排之外，不論客戶依據何種工作條件決定聘用本協議條款項下介紹的任何工作方時，客戶都須支付有關的代理費用。 12. 如遇客戶在公司介紹的工作方12個月內根據任何條件提出其他工作或聘用，客戶須向公司支付相關服務費用。公司的服務費適用於公司所提議、提出或列出的任何工作方，適用於客戶或其下屬機構、附屬機構或關聯公司在此時段內，不論是否在工作方或員工的能力範圍之內，提供和聘用的某項具體工作，或任何替代工作或聘用機會（合約性質或長久性的）。公司向客戶所做介紹屬於保密資訊，不得向與客戶沒有合法關係的任何外部第三方提及。 13. 本服務只是聯繫使用者的場所。公司不介入用戶之間的實際聯繫或工作的完成。如與一位或多位用戶發生糾紛，你須免除公司（及其管理人員，董事、代理人、投資人、下屬機構及員工）在該等糾紛中出現的各種性質、已知和未知的、懷疑和無疑的，已披露或未披露的任何及一切（之間或間接）索賠、要求、損失的賠償責任。 14. 公司明確表示對該服務的使用者之間可能出現的任何債務問題不承擔任何責任。 15. 本服務可包含簡介、電郵系統、博客、留言板、應用、工作發帖、聊天區、新聞群組、論壇、社區及/或其他資訊或交流設施（“公共區域”），允許使用者去其他用戶進行交流。你可只使用社區發送和接收與適用論壇有關的資訊和資料。 16. 本服務的所有使用者，不論是否註冊成為會員，都禁止採用以下任何一種方式使用本服務： (a) 含有或涉及不完整、虛假、不準確、誤導、欺詐、中傷、誹謗、下流、歧視性、騷擾性、威脅性、辱駡性、仇恨、種族性、非法、不恰當、攻擊性或其它與招聘/找工作宗旨不符的資訊（包括但不限於募捐、或商業、發起無關的廣告、發送未經同意的電郵或進行直接或間接的行銷）； (b) 侵犯工作者、其他用戶或任何第三方的知識產權或所有權，侵犯他人的私隱、公共形象或其它個人權利； (c) 未經資訊、賬戶或系統所有人的許可； (d) 引致病毒、被破壞的文件或其它資料阻止、破壞、或限制運行、破壞服務的安全、對任何使用者的服務進行竄改或干涉； (e) 違反本條款及條件，違反香港或其它有關司法管轄權下的任何適用法律法規； (f) 誹謗、辱駡、騷擾、糾纏、威脅、或以其它方式侵犯其他人，包括但不限於公司員工的合法權益（例如，但不限於私隱權和公共形象）。 (g) 發佈、張貼、上傳、散發、或散佈任何褻瀆、誹謗、侵害、下流或非法的話題、名稱、材料或資訊。 (h) 將服務用於任何其它目的，包括但不限於張貼或完成違法的工作。 (i) 上傳含有侵犯任何第三方知識產權（或私隱權或公共形象）的軟體或其他資料。 (j) 上傳含有病毒、木馬程式、破壞文件或可能破壞他人電腦運行的任何其它類似軟體的文件。 (k) 張貼或上傳使用者無權使用的任何內容。 (l) 通過該服務進行與本服務無關的廣告宣傳或提供任何商業目的之貨物或服務銷售。 (m) 從事或開展調查、比賽、非法傳銷或連環信活動。 (n) 模仿他人或使用者，或允許任何他人或實體用你的身份發帖或查看評論。 (o) 反復張貼同一工作（“製造垃圾郵件”）。嚴禁製造垃圾郵件。 (p) 下載其他用戶張貼的文件，這類文件是用戶已知或應該知道不能通過該服務合法散佈的文件。 (q) 限制或禁止任何其他使用者使用或享用公共區域。 (r) 未經公司事先書面同意，暗示或聲明你所作陳述得到了公司認可。 (s) 以任何方式採用機器人、蜘蛛、人工及/或自動程式或設施對該服務進行資料採擷、資料獲取、抹除或進行索引。 (t) 對該服務及其伺服器或任何有關網路進行駭客攻擊或干擾。 (u) 為你自己或商業用途對該服務進行改編、竄改、發放牌照、轉發牌照或翻譯。 (v) 對公司所擁有的任何版權、商標或產權標記和權利進行視覺上或其它方式的清除或更改。 (w) 上傳有攻擊性及/或有害性內容，包括但不限於宣揚、認可、容忍或推動對任何個人或群體進行任何種類的種族主義、偏見、仇恨、或身體傷害的內容。 (x) 上傳對18歲以下人群進行侮辱、暴力或性侵方式提供資料的內容。 (y) 利用本服務尋求任何其他業務、網址或服務，或以其它方式聯繫使用者進行招聘、簽約或與本協議規定之服務無關的任何目的。 (z) 利用該服務通過電子或其他方式收集用戶名及或使用者電郵地址。 (aa) 在你的賬戶被暫停或終止後以不同的用戶名或身份註冊。 17. 公司與你之間簽訂的合約為無限期合約。公司可在任何時候以任何理由通過書面或電郵通知終止或暫停你使用該服務的權利，遞交該通知後該終止立即生效。如果你違反了本協議的任何條款，或公司不時通知服務張貼的任何政策，或是公司通過其他方式發現你從事了不恰當及/或攻擊性行為，公司可終止或暫停你使用該服務的權利而不受限制。如果公司因任何一種原因終止或暫停你使用服務的權利，你就無權收回你賬戶上為使用的餘款。如果公司以任何理由終止或暫停你的賬戶，即禁止你用你的名字、假名或借用的名字或第三方名稱註冊建立新的賬戶，即使你可以代表第三方行事。公司除終止或暫停你的賬戶外，保留採取適當法律行動的權利，包括但不限於民事和刑事訴訟。 18. 即使你使用該服務的權利被終止或暫停後，本協議仍可強制執行。 19. 你可通過停止使用一切服務在任何時候終止本協議。即使本協議期滿或終止之後，按其本質在本協議期滿或終止後仍然有效的所有章節將繼續有效。 20. 你必須向公司註冊並建立一個使用該服務的賬戶。你是唯一授權使用你賬戶的用戶。你負責對你或公司提供給你進入該服務的密碼和賬號保密。你須對你的密碼或賬號下發生的一切活動承擔唯一和全部責任。公司對任何用戶賬號的使用不進行管控，並為此而明確免責。如果你懷疑任何一方擅自使用了你的密碼或賬戶或你懷疑任何其它安全方面的破壞，你須及時與公司聯繫。 21. “你的資訊”定義為你提供給公司或與你登記使用該服務有關之其他使用者的一切資訊和資料。你須對你的資訊承擔全部責任，我們只是作為線上散發和公佈你的資訊的被動管道。本節所述有每一位使用者提供的資訊和資料在此統稱為“使用者產生內容”。你須向公司陳述並保證你的資訊(a) 不是虛假的、不準確的、不完整的或是誤導性的；(b) 不是欺詐性的或牽涉銷售假冒產品或偷盜財物；(c) 不得侵犯任何第三方的版權、專利、商標、商業機密或其它所有權或公共形象或私隱權；(d) 不得違反任何法律規定（包括但不限於管轄出口管控、消費者保護、不公平競爭、反歧視或假冒廣告）；(e) 不得中傷、誹謗、非法威脅、或非法騷擾；(f) 不得含有下流或兒童色情或對少年有害的內容；(g) 不得含有任何病毒、木馬程式、蠕蟲、定時炸彈、取消程式或其他電腦程式設計程式及/或，除此之外，有意破壞惡意干涉、秘密攔截或剝奪任何系統、資料或個人資訊的惡意程式；及(h) 不得給公司造成任何債務。 22. 你特此授予公司非獨有、全世界範圍的、永久性的、不可撤銷的、免版稅的、可轉授許可權（通過多層次）的權利，以行使一切版權、公共權利和你在你的資訊中任何目前已知或未知媒體所享有的任何其它權利，以便進行和改善該服務。 23. 向公司提供錄影帶、電影、記錄、照片、聲音或一切有關儀器、音樂或其它音響製品以交換該服務試用期的每一位工作方特此不可撤銷地授予公司非獨有、完全支付、免版稅、可轉讓、可轉授許可權、全球範圍內、不受限制並永久使用任何該工作方提供給公司的任何錄影帶、電影、記錄或照片的權利，並在該工作方有關服務的視頻或圖像展覽、發佈、展示、表演、傳送、在各種媒體，包括但不限於互聯網的廣播中使用、複製、修改、或改編該工作方圖片、剪影及其類似資料的其他複製品（可出現在任何靜止照片及/或電影或視頻中的製品）（統稱為“實物類似品”）。另外，在各種媒體中複製該工作方聲音及與此服務有關的任何錄音，及一切有關儀器、音樂或其它聲響（統稱為“聲音”），並在任何媒體中對服務做廣告、行銷及/或公佈中使用、允許使用該工作方的實物類似品和聲音。使用並允許使用該工作方的名稱和與服務有關的身份。 24. 每一位工作方特此放棄一切權利，並免除公司對任何該等方面的任何索賠或訴訟原因，不論現在是否已知或未知，對私隱權、公共形象或人格或類似事項的侵權，或與使用和利用該工作方身份、類似物或與服務有關的聲音提起訴訟或提起訴訟程序的一切責任。 25. 每一位工作方承認公司對使用由工作方提供的錄音，不論是初始或隨後進行的傳送或重播都無需付款或支付其他報酬，並承認公司對該工作方錄音或參與任何錄音包括任何錄音資料的丟失而發生的任何費用或責任概不負責。 26. 每一位使用者須對依據適用法律指南正確劃分作為獨立承判商或僱員的使用者工人承擔全部責任。 27. 用戶無權代表公司簽訂書面或口頭合約。每一位使用者承認公司不以任何方式監督、指導或管控工作方任何形式的工作或任務。公司並不規定工作方的工作時間或地點。公司不提供具體任務所需的任何設備、勞務或材料。為免誤解，公司不與用戶建立任何形式的勞資關係。 28. 本服務並不是一個就業服務，公司並不是任何使用者的工作方。因此，公司對任何稅收、預扣稅，包括但不限於失業保險、工作方的責任險和強積金不承擔任何責任。 29. 你同意對任何及一切將工作方誤判為獨立承判商，由法院、仲裁人、政府機構或其他機構將工作方誤判為僱員（包括但不限於稅收、罰款、利息及律師費）的判決所產出的任何債務，將公司作為工作方或工作方的聯合工作方提出的任何索賠、以及依據任何就業有關法律提出的索賠，如就業終止、就業歧視、騷擾或報復有關的索賠，以及僱員超時工作、病假、節假日費用、退休福利、工人的補償福利、失業補助或任何其它僱員福利的任何索賠進行賠償公司，使公司不受傷害並為公司進行辯護。 30. 使用者通過本服務看到或閱讀的所有文本、圖形、編輯內容、資料、格式、圖表、設計、HTML檔、外觀、感覺、照片、音樂、聲響、圖片、軟體、視頻、樣式、字體和其他內容（統稱為“專有資料”）都歸屬公司所有，但公司有權使用的使用者產生內容除外。專有資料的受現已知或以後開發的各種形式、媒體和技術的保護。依據香港特別行政區法例第528章香港特別行政區《版權條例》（“條例”）及其適用的修正條款，公司擁有所有專有資料以及作為選集的協調、精選、安排或提升產品。專有資料受國內外版權、專利及其它所有權法律的保護。未經公司事先書面同意，使用者不得自本服務平臺上複製、下載、使用、重新設計、重新格式化或發送任何東西。 31. 公司的服務標記和商標，包括但不限於公司及公司的標識是公司所擁有的服務標記。本服務上出現的任何其他商標、服務標記、標識及/或商品名都是他們各自所有人的資產。未經其所有人事先書面明確同意，任何人都不得複製或使用其中任何標記、標識或商品名。 32. 你承認保密資訊（按以下定義）是公司專有獨特的寶貴資產，並同意不得披露、轉讓、使用（或尋求誘使他人披露、轉讓或使用）任何保密資訊於任何目的，但向其受約須保守機密資訊的授權員工和代理人披露除外。如出現擅自披露、轉讓或使用保密資訊的任何情況，你須立即書面通知公司。你須竭盡全力保護保密資訊不受擅自披露、轉讓或使用。你須在本協議不論以任何原因終止後立即將所有含有保密資訊的任何及一切資料原件和副本歸還給公司。“保密資訊”一詞意指公司的任何及一切商業秘密、機密及專有資訊及公司的一切其他資料和資料，這些資料和資料是不為公眾或其他第三方所知的，他們可能會從其使用或披露中獲取經濟或其他價值。保密資訊包括技術資料、技巧、研究、產品計畫、產品、服務、客戶、市場、軟體、開發、發明、工藝，配方、技術、設計、圖紙、工程、硬體設定資訊、行銷、財務或直接或間接書面，口頭或通過圖紙或觀察披露的其他業務資訊，。 33. 本服務是按“所述”基礎上提供的，公司不對用戶做任何擔保。 34. 不僅限於上述規定，公司或其附屬機構或許可人均不保證訪問服務網站不會中斷或者是服務網站完美無缺。公司並不保證服務網站沒有任何電腦病毒。 35. 對於因為(i)你使用或無法使用該服務，或(ii)你提交的任何內容或使用你的服務賬戶,包括但不限於該等內容可能侵犯了第三方的知識財產權，或因其它原因而構成違法或非法行為而發生的任何及一切索賠、損失、費用或債務要求，包括律師費、調查費和專家（或類似）費，開支和費用，你在此同意向公司及其董事、管理人員、員工、代理人、許可人、律師、獨立承判商、供應商、下屬機構和附屬機構進行賠償，為其進行辯護並使其不受傷害。公司保留由自己承擔費用，對除你賠償的事項之外任何事項進行辯護和管控的權利。未經公司書面同意，在任何情況下你都不得獨自解決任何索賠問題或事項。 36. 除另有明確規定之外，本協議受香港特別行政區法律專有管轄並按其進行詮釋，沒有法律原則選擇問題。任何仲裁，如有，都在香港依據香港法律進行裁決。 37. 公司可不時為用戶提供一些促銷機會，抽獎和競賽。所有這些推廣活動均由公司自行決定，並可由公司在任何時候舉辦、修改或取消，而無需提前通知。公司客戶根據該等推廣機會、抽獎和競賽產生的任何責任受限於該服務條款。 38. 為免誤解，本協議無意建立任何代理、客戶關係、合資企業、勞資關係或特許經銷商關係。 39. 公司未能執行本協議的任何條文不得解釋為放棄任何條文或放棄任何權利。本協議構成你與公司之間有關主題的完整協議。如果本協議的任何條文被判無效或無法執行，則其餘條文仍可最大限度地執行，其餘條文仍保持完全有效。本協議應有利於公司、及其繼承人和受讓人的利益。 40. 公司自行決定保留改變、修訂、添加、補充或刪除本協議任何條款和條件的權利，保留隨時複查、改進、修改、臨時或永久中斷服務或通過服務提供的任何內容或資訊的權利，通過提前通知或無事先通知的方式生效，對此，公司不承擔任何責任。公司會盡力通過電郵告知你這些變更，但對未能通知你不承擔責任。如果你不接受未來對本協議的任何變更，或導致你不能遵守本協議，你必須終止（經書面通知）並立即停止使用本服務。如果你在本協議作出修改後繼續使用本服務，就構成你完全及不可撤銷地接受任何及一切該等變更。公司可在任何時候變更、修改、暫停或中斷本服務的任何方面而無需通知或承擔責任。公司亦可限制某些特性或限制你進入本服務的某些部分或全部而無需通知或承擔責任。 The terms and conditions stated herein (collectively, the "Agreement") constitute a legal agreement between you and Jobber Limited (a limited liability company incorporated under the laws of Hong Kong), its subsidiaries, affiliates and associated companies (the “Company”, “we or “us”). In order to use the Service (defined below) and the associated Application (defined below) you must agree to the terms and conditions that are set out below. By using or receiving any services supplied to you by Company, including but not limited to using the mobile app and the website (collectively, the "Service"), and downloading, installing or using any associated application supplied by the Company which purpose is to enable you to use the Service (collectively, the "Application"), you hereby expressly acknowledge and agree to be bound by the following terms and conditions, and any future amendments and additions relating to the terms and conditions as published or issued from time to time by the Company. If you do not agree to the Terms and Conditions, please do not access, view, upload or obtain any information from the Site or use any of the Service immediately. Company reserves the right to modify the terms and conditions of this Agreement or its policies relating to the Service or Application at any time, effective upon posting of an updated version of this Agreement on the Service or Application. 1 Service 1.1 Company does not provide any recruitment service and the same is not an employment agency. It is up to the Third Party Employers to offer employment and the Third Party Employees to accept the same. The Company does not intend to provide recruitment services nor act as an employment agency and has no responsibility or liability for any recruitment services. 1.2 The Service is a communications platform which enables the connection between the Third Party Employers (“Clients”) and the Third Party Employee (“Taskers”). Clients are individuals and/or businesses seeking to obtain task services (“Tasks”) from Taskers and are therefore clients of Taskers, and Taskers are individuals and/or businesses seeking to perform Tasks (“Taskers”) for Clients. Clients and Taskers together are hereinafter referred to as “Users” Or “User”. 1.3 The Service is a platform for enabling connections between Users for the fulfillment of Tasks, but Company is not responsible for the performance of Users, nor does it have control over the quality, timing, legality, failure to provide, or any other aspect whatsoever of Tasks. Company does not have control over the quality, timing or legality of Tasks delivered by its Taskers. Company makes no representations about the suitability, reliability, timeliness, or accuracy of the Tasks requested and provided by Users identified through the Service whether in public, private, or offline interactions. 1.4 Clients and Taskers may be subject to an extensive vetting process before they can register and during their use of the Service, including but not limited to a verification of identity and a comprehensive criminal and bankruptcy/ solvency background check in Hong Kong. Users hereby give consent to Company to conduct background checks as often as required in compliance with laws within Hong Kong. 1.5 Although Company may perform background checks of Users as per requested, as outlined above, Company would not confirm that each User is who they claim to be and therefore, Company cannot and does not assume any responsibility for the accuracy or reliability identity or background check information or any information provided through the Service. 1.6 When interacting with other Users, you should exercise caution and common sense to protect your personal safety and property. To avoid any doubts, Company hereby confirm again that the same would not responsible for whatever conduct of any User and Company would not be liable to any claim, injury or damages arising relating to the Service. 1.7 Users contract for Tasks directly with other Users. Company will not be a party to any contracts for Tasks or services. 2 Service Fee 2.1 Clients will be responsible for paying the invoice for each Task (the “Invoice”), which will include the pricing terms of the Task agreed with and provided by a Tasker (“Task Payment”), any out of pocket expenses agreed with and submitted by a Tasker in connection with the Task, any tip or gratuity, if applicable, and the fee ("Service Fee") the Company assesses for the Service, based on the Task Payment amount. In order to prevent any misunderstand, Company would not liable for any such amount at all. 2.2 Taskers would need to provide bank account details to Company for payment. Within 24 hours after Client receives confirmation through the Service or via email that a Task has been completed, Client authorizes Company to invoice Client via email of any fees owed to Company for the use of the Service, and if applicable, Task Payment, out of pocket expenses owed to Tasker, and any tip or gratuity. You may be charged a cancellation fee if you book a Task, but cancel it before it is completed, as set forth in the Task pricing terms. 2.3 Company reserves the right, in its sole discretion (but not the obligation), to (a) place on hold any Task Payment and out of pocket expenses, or (b) refund. 2.4 By using the Service, Client acknowledges that Taskers referred to Client under this agreement are referred in relation to any short term, part-time, contract, consultative or any basis of employment. Should Client decide to hire any Taskers introduced under the Terms of this agreement on whatsoever basis of employment separate from this original permanent arrangement, Client will still be liable to pay the relevant agency fee. 2.5 In the event Client offers other Tasks or employment on any basis within 12 months of Tasker introduction through Company, Client shall need to pay Company the relevant Service Fee. Company’s Service Fee will apply to any Taskers, initiated, referred or listed by Company for a specific Task, or any alternate Tasks or employment opportunities (contracted or permanent) offered and employed by Client or a subsidiary, affiliate, or related company, within this timeframe, whether in the capacity of a Tasker or an employee. The introduction effected by Company to Client is confidential and is not for referral to any outside third party not legally associated with Client. 3 Use of the Service 3.1 The Service is only a venue for connecting Users. Company does not involved in the actual contact between Users or in the completion of the Task, in the event that you have a dispute with one or more Users, you release Company (and our officers, directors, agents, investors, subsidiaries, and employees) from any and all claims, demands, or damages (actual or consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes. 3.2 Company expressly disclaims any liability that may arise between Users of its Service. 3.3 The Service may contain profiles, email systems, blogs, message boards, applications, job postings, chat areas, news groups, forums, communities and/or other message or communication facilities (“Public Areas”) that allow Users to communicate with other Users. You may only use such community areas to send and receive messages and material that are relevant and proper to the applicable forum. 3.4 All Users of the Service, whether or not registered as a Member, shall be prohibited from using the Service in any manner which: (a) contains or involves information which is incomplete, false, inaccurate, misleading, fraudulent, defamatory, libelous, obscene, discriminatory, harassing, threatening, abusive, hateful, racist, illegal, improper, offensive, or otherwise unrelated to recruitment/job seeking purposes (including without limitation by soliciting donations or businesses, launching irrelevant advertisements, sending unsolicited e-mails or conducting direct or indirect marketing); (b) infringes the Intellectual Property Rights or proprietary rights of Jobber, other Users or any third parties, or violates the privacy, publicity or other personal rights of others; (c) does not have the permission from any owner of the information, the account or the system; (d) causes viruses, corrupted files or other materials to interrupt, damage or limit the operation, or violate the security of the Service, or tamper or interfere with the Services to any User; (e) violates the Terms and Conditions or any applicable laws and regulations of Hong Kong or other relevant jurisdictions. (f) Defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as, but not limited to, rights of privacy and publicity) of others, including but not limited to Company staff. (g) Publish, post, upload, distribute or disseminate any profane, defamatory, infringing, obscene or unlawful topic, name, material or information. (h) Use the Service for any purpose, including, but not limited to posting or completing a Task, in violation of any law. (i) Upload files that contain software or other material that violates the intellectual property rights (or rights of privacy or publicity) of any third party. (j) Upload files that contain viruses, Trojan horses, corrupted files, or any other similar software that may damage the operation of another's computer. (k) Post or upload any content to which the Users have not obtained any necessary rights or permissions to use accordingly. (l) Advertise or offer to sell any goods or services for any commercial purpose through the Service which are not relevant to the services offered through the Service. (m) Conduct or forward surveys, contests, pyramid schemes, or chain letters. (n) Impersonate another person or a User or allow any other person or entity to use your identification to post or view comments. (o) Post the same Task repeatedly (“Spamming”). Spamming is strictly prohibited. (p) Download any file posted by another User that a User knows, or reasonably should know, cannot be legally distributed through the Service. (q) Restrict or inhibit any other User from using and enjoying the Public Areas. (r) Imply or state that any statements you make are endorsed by Company, without the prior written consent of Company. (s) Use a robot, spider, manual and/or automatic processes or devices to data-mine, data-crawl, scrape or index the Service in any manner. (t) Hack or interfere with the Service, its servers or any connected networks. (u) Adapt, alter, license, sublicense or translate the Service for your own personal or commercial use. (v) Remove or alter, visually or otherwise, any copyrights, trademarks or proprietary marks and rights owned by Company. (w) Upload content that is offensive and/or harmful, including, but not limited to, content that advocates, endorses, condones or promotes racism, bigotry, hatred or physical harm of any kind against any individual or group of individuals. (x) Upload content that provides materials or access to materials that exploit people under the age of 18 in an abusive, violent or sexual manner. (y) Use the Service to solicit for any other business, website or service, or otherwise contact Users for employment, contracting or any purpose not related to use of the Service as set forth herein. (z) Use the Service to collect usernames and or/email addresses of Users by electronic or other means. (aa) Register under different usernames or identities, after your account has been suspended or terminated. 4 Termination 4.1 The Contract between Company and you is concluded for an indefinite period. Company may terminate or suspend your right to use the Service at any time for any reason by providing you with written or email notice of such termination, and termination will be effective immediately upon delivery of such notice. Without limitation, Company may terminate or suspend your right to use the Service if you breach any term of this Agreement or any policy of Company posted through the Service from time to time, or if Company otherwise finds that you have engaged in inappropriate and/or offensive behavior. If Company terminates or suspends your right to use the Service for any of these reasons, you will not be entitled to any refund of unused balance in your account. If Company terminates or suspends your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party. In addition to terminating or suspending your account, Company reserves the right to take appropriate legal action, including without limitation pursuing civil and criminal action. 4.2 Even your right to use the Service is terminated or suspended, this Agreement will remain enforceable. 4.3 You may terminate Agreement at any time by ceasing all use of the Service. All sections which by their nature should survive the expiration or termination of this Agreement shall continue in full force and effect subsequent to and notwithstanding the expiration or termination of this Agreement. 5 Liability 5.1 Your Liability 5.1.1 You must register with Company and create an account to use the Service. You are the sole authorized user of your account. You are responsible for maintaining the confidentiality of any password and account number provided by you or Company for accessing the Service. You are solely and fully responsible for all activities that occur under your password or account. Company has no control over the use of any User's account and expressly disclaims any liability derived therefrom. Should you suspect that any unauthorized party may be using your password or account or you suspect any other breach of security, you should contact Company immediately. 5.1.2 “Your Information” is defined as any information and materials you provide to Company or other Users in connection with your registration for and use of Service. You are solely responsible for Your Information, and we act merely as a passive conduit for your online distribution and publication of Your Information. The information and materials described in this Section, as provided by each User, is collectively referred to herein as “User Generated Content.” You hereby represent and warrant to Company that Your Information (a) will not be false, inaccurate, incomplete or misleading; (b) will not be fraudulent or involve the sale of counterfeit or stolen items; (c) will not infringe any third party's copyright, patent, trademark, trade secret or other proprietary right or rights of publicity or privacy; (d) will not violate any law (including without limitation those governing export control, consumer protection, unfair competition, anti-discrimination or false advertising); (e) will not be defamatory, libelous, unlawfully threatening, or unlawfully harassing; (f) will not be obscene or contain child pornography or be harmful to minors; (g) will not contain any viruses, Trojan Horses, worms, time bombs, cancelbots or other computer programming routines, and/ or malwares, among other things, that are intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information; and (h) will not create any liability for Company. 5.1.3 You hereby grant Company a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable (through multiple tiers) right to exercise all copyright, publicity rights, and any other rights you have in Your Information, in any media now known or not currently known in order to perform and improve upon the Service. 5.1.4 Each Tasker who provides to the Company any videotape, film, record, photograph, voice, or all related instrumental, musical, or other sound effects, in exchange for the right to use the Service, hereby irrevocably grants to the Company the non-exclusive, fully-paid, royalty-free, transferable, sublicensable, worldwide, unrestricted, and perpetual right to use any videotape, film, record or photograph that such Tasker provides to the Company, and use, reproduce, modify, or creative derivatives of such Tasker picture, silhouette and other reproductions of their physical likeness (as the same may appear in any still camera photograph and/or motion picture film or video) (collectively the “Physical Likeness”), in and in connection with the exhibition, distribution, display, performance, transmission, broadcasting on any and all media, including, without limitation, the internet, of any videos or images of such Tasker in connection with the Service. Furthermore, reproduce in all media any recordings of such Tasker’s voice, and all related instrumental, musical, or other sound effects (collectively, the “Voice”), made in connection with the Service and use, and permit to be used, such Tasker’s Physical Likeness and Voice in the advertising, marketing, and/or publicizing of the Service in any media. Use, and permit to be used, such Tasker’s name and identity in connection with the Service. 5.2 Tasker’s Liability 5.2.1 Each Tasker hereby waives all rights and releases the Company from, and shall neither sue nor bring any proceeding against any such parties for, any claim or cause of action, whether now known or unknown, for defamation, invasion of right to privacy, publicity or personality or any similar matter, or based upon or relating to the use and exploitation of such Tasker’s identity, likeness or voice in connection with the Service. 5.2.2 Each Tasker acknowledges that the Company shall not owe any financial or other remuneration for using the recordings provided hereunder by such Tasker, either for initial or subsequent transmission or playback, and further acknowledges that the Company is not responsible for any expense or liability incurred as a result of such Tasker’s recordings or participation in any recordings, including any loss of such recording data. 5.3 User’s Liability 5.3.1 Each User assumes all liability for proper classification of such User’s workers as independent contractors or employees based on applicable legal guidelines. 5.3.2 Users do not have authority to enter into written or oral contracts on behalf of Company. Each User acknowledges that Company does not, in any way, supervise, direct, or control a Tasker’s work or Tasks performed in any manner. Company does not set a Tasker’s work hours or location of work. Company will not provide any equipment, labor or materials needed for a particular Task. To prevent any misunderstanding, Company would not form any employer-employee relationship with any User. 5.4 The Service is not an employment service and Company does not serve as an Tasker of any User. As such, Company will not be liable for any tax or withholding, including but not limited to unemployment insurance, Tasker’s liability and MPF 5.5 You agree to indemnify, hold harmless and defend Company from any and all claims that a Tasker was misclassified as an independent contractor, any liabilities arising from a determination by a court, arbitrator, government agency or other body that a Tasker was misclassified as an employee (including, but not limited to, taxes, penalties, interest and attorney’s fees), any claim that Company was an Tasker or joint Tasker of a Tasker, as well as claims under any employment-related laws, such as those relating to employment termination, employment discrimination, harassment or retaliation, as well as any claims for overtime pay, sick leave, holiday or vacation pay, retirement benefits, worker's compensation benefits, unemployment benefits, or any other employee benefits. 6 Intellectual Property Rights 6.1 All text, graphics, editorial content, data, formatting, graphs, designs, HTML, look and feel, photographs, music, sounds, images, software, videos, designs, typefaces and other content (collectively “Proprietary Material”) that Users see or read through the Service is owned by Company, excluding User Generated Content that Company has the right to use. Proprietary Material is protected in all forms, media and technologies now known or hereinafter developed. Company owns all Proprietary Material, as well as the coordination, selection, arrangement and enhancement of such Proprietary Materials as a Collective Work under the Copyright Ordinance of Hong Kong SAR, Chapter 528 of the Laws of Hong Kong SAR (the “Ordinance”), where practicable as amended. The Proprietary Material is protected by the domestic and international laws of copyright, patents, and other proprietary rights and laws. Users may not copy, download, use, redesign, reconfigure, or retransmit anything from the Service without Company's express prior written consent. 6.2 The service marks and trademarks of Company, including without limitation Company and the Company logos are service marks owned by Company. Any other trademarks, service marks, logos and/or trade names appearing via the Service are the property of their respective owners. No one could copy or use any of these marks, logos or trade names without the express prior written consent of the owner. 7 Confidentiality You acknowledge that Confidential Information (as hereinafter defined) is a valuable, special and unique asset of Company and agree that you will not disclose, transfer, use (or seek to induce others to disclose, transfer or use) any Confidential Information for any purpose other than disclosure to your authorized employees and agents who are bound to maintain the confidentiality of Confidential Information. You shall promptly notify Company in writing of any circumstances which may constitute unauthorized disclosure, transfer, or use of Confidential Information. You shall use best efforts to protect Confidential Information from unauthorized disclosure, transfer or use. You shall return all originals and any copies of any and all materials containing Confidential Information to Company upon termination of this Agreement for any reason whatsoever. The term “Confidential Information” shall mean any and all of Company’s trade secrets, confidential and proprietary information and all other information and data of Company that is not generally known to the public or other third parties who could derive value, economic or otherwise, from its use or disclosure. Confidential Information shall be deemed to include technical data, know-how, research, product plans, products, services, customers, markets, software, developments, inventions, processes, formulas, technology, designs, drawings, engineering, hardware configuration information, marketing, finances or other business information disclosed directly or indirectly in writing, orally or by drawings or observation. 8 Warranty and Indemnity 8.1 The Service is provided on an “As is” basis and Company would not give warranties of any kind to Users. 8.2 Without limiting the foregoing, neither Company nor its affiliates or licensors warrant that access to the Service will be uninterrupted or that Services will be error-free. Company would not warrant that Services is free from any type of computer virus. 8.3 You hereby agree to indemnify, defend, and hold harmless Company, its directors, officers, employees, agents, licensors, attorneys, independent contractors, providers, subsidiaries, and affiliates from and against any and all claim, loss, expense or demand of liability, including attorneys', investigators’, and experts’ (or similar) fees, disbursements and costs incurred, in connection with (i) your use or inability to use the Service, or (ii) any content submitted by you or using your account to the Service, including, but not limited to the extent such content may infringe on the intellectual rights of a third party or otherwise be illegal or unlawful. Company reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to your indemnification. You will not, in any event, settle any claim or matter without the written consent of Company. 9 Governing Law and Jurisdiction Except as expressly provided otherwise, this Agreement is exclusively governed by, and will be construed under, the laws of the Hong Kong SAR, without regard to choice of law principles. Any arbitration, if any, will be conducted in Hong Kong and be subject to Hong Kong laws too. 10 Promotion 10.1 Company may from time to time provide certain promotional opportunities, sweepstakes and contests to Users. All such promotions will be run at the sole discretion of Company, and can be activated, modified or removed at any time by Company without advance notification and the liability of any of Company’s Clients pursuant to such promotional opportunities, sweepstakes and contests shall be limited pursuant to these Terms of Service. 10.2 To prevent any misunderstanding, no agency, Clientship, joint venture, employer-employee or franchiser-franchisee relationship is intended or created by this Agreement. 11 Entire Agreement Failure by Company to enforce any provision(s) of this Agreement will not be construed as a waiver of any provision or right. This Agreement constitutes the entire agreement between you and Company with respect to its subject matter. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will be enforced to the fullest extent possible, and the remaining provisions will remain in full force and effect. This Agreement will inure to the benefit of Company, its successors and assigns. 12 Variation of Terms Company reserves the right, at its sole and absolute discretion, to change, modify, add to, supplement or delete any of the terms and conditions of this Agreement and review, improve, modify or discontinue, temporarily or permanently, the Service or any content or information through the Service at any time, effective with or without prior notice and without any liability to Company. Company will endeavor to notify you of these changes by email, but will not be liable for any failure to do so. If any future changes to this Agreement are unacceptable to you or cause you to no longer be in compliance with this Agreement, you must terminate (with notice in writing), and immediately stop using, the Service. Your continued use of the Service following any revision to this Agreement constitutes your complete and irrevocable acceptance of any and all such changes. Company may change, modify, suspend, or discontinue any aspect of the Service at any time without notice or liability. Company may also impose limits on certain features or restrict your access to parts or all of the Service without notice or liability. 13 Advertisement 13.1 Advertisements require specific placement or extra processing shall be subject to extra charges. Jobber shall have the absolute right at any time to determine, adjust or vary the classification and rate of charges applicable to all advertisements placed. Published rates and charges are those set out on any order form or acknowledgement may be varied by Jobber at any time without notice prior to invoicing. 13.2 It is responsibility of the advertiser to check the correctness of an advertisement before it is submitted. The advertiser and /or its advertising agent(s) shall indemnify and keep indemnified Jobber in respect of all loss, damage, costs and expenses including legal fees arising directly or indirectly from the publication of an advertisement on instructions from the advertiser and / or its advertising agent(s). 13.3 Advertiser shall be solely responsible for the contents of and materials contained in its advertisement and/or web page posted on the Site. Jobber reserves the right to remove or edit, or require the removal or amendment of, any advertisement or web page as it sees appropriate, or to terminate or suspend the Advertiser’s access and use of the Site and/or services offered on or through the Site, in accordance with the agreement for such services between Advertiser and Jobber. 13.4 From time to time Jobber may invest in marketing campaigns to promote your employer brand (including but not limited to Google ads, Yahoo – Bing ads, Baidu ads, Facebook ads, Twitter ads, ad networks, Demand Side Platforms, Real Time Bidding, retargeting and other programmatic buying strategies) and acknowledge that such promotion may be outside the domain of Jobber or its subsidiaries / affiliates. 14 Force Majeure Without prejudice to the provisions of these Terms and Conditions limiting or disclaiming liability, Jobber is not liable for any delay or failure in performance resulting directly or indirectly from causes beyond its reasonable control, including, without limitation, failure of the internet, power failure, failure of computer, telecommunication or other equipment, strikes, labor disputes, riots, insurrections, civil disturbances, shortage of labor or materials, fires, floods, storms, explosions, act of God, war, governmental actions, orders of domestic or foreign courts and non-performance of third parties. 15 Privacy 15.1 Upon payment of the service fee to Jobber or upon acceptance of any free trial promotion offer, Advertiser will be entitled to use the Site to advertise job vacancies and/or to create its own web page on the Site for a predetermined period following agreement of the predetermined service, save and except for free trial promotion offer. Subject to the conditions or requirements from time to time stipulated by Jobber regarding the access to Taskers’ information or data, Advertiser will be entitled to access the Database but agrees that all information or data obtained as a result of such access shall only be used for the sole purpose of recruiting and assessing the suitability of Taskers and that such information or data shall not be disclosed to any other parties without the prior consent of the Taskers concerned. Advertiser acknowledges and agrees that it shall disregard any information or data received from Taskers which is irrelevant to recruiting and assessing the suitability of Taskers. 15.2 Taskers acknowledges and agrees to Jobber practice of charging Advertiser a fee for access to the Site, the Database and/or Taskers’ resumes, details and the related information or data for the sole purpose of recruiting and assessing the suitability of Taskers and subject to the terms herein. Taskers also recognize that he/she shall have no claims to any such fee received by Jobber. Taskers confirms and acknowledges that he/she discloses his/her personal data and all other information to the Advertisers and/or Jobber of his/her own volition when he/she applies for available job vacancies posted on or through the Site, and/or when Taskers uses the Site for purposes of submitting, uploading or posting his/her resume on the Site. By submitting, uploading or posting his/her resume on the Site. 15.3 Jobber pledges to meet fully with the requirements of the Personal Data (Privacy) Ordinance, Chapter 486 of the Laws of Hong Kong. In doing so, Jobber will ensure compliance by its officers and staff to the strictest standards of security and confidentiality in respect of all personal information and data submitted by users via the Site and Jobber will not, subject to the terms herein, release such information to anyone without the prior consent of the relevant user(s) of the Site (whether registered or not) (“User(s)”). 15.4 Users are strongly recommended to read this Privacy Statement carefully to have an understanding of Jobber’s policy and practices with regard to the treatment of personal information and data provided by the Users on the Site. This Privacy Statement is applicable to both registered and unregistered Users, and the terms herein may be updated, revised, varied and/or amended from time to time as Jobber may deem necessary and/or appropriate. By registering for or using the services/Site, or by clicking the ‘Register’ button, User: (a) consent to Jobber and/or Jobber’s group companies collecting, using, disclosing and/or processing User’s personal data for the purposes as described below; (b) consent to Jobber and/or Jobber’s group companies disclosing Users’ personal data to Jobber’s and/or Jobber’s group companies’ third party service providers or agents 15.5 Jobber purposes for collecting and using the information and data on the Site include but are not limited to the following: (a) for the daily operation of the services provided to Users; (b) to assist Taskers to find appropriate employment with clients and to assist clients to assess the suitability of candidates for job vacancy for a wide spectrum of jobs and industries; (c) to provide Users with various services offered by the Site and newsletters, job openings and promotional and marketing materials (for further details, please refer to section headed “Subscription of Newsletter/Promotional Materials/Marketing Materials” below); (d) to handle and follow up on enquiries, requests and complaints from Users; (e) to contact Users regarding administrative notices and communications relevant to his/her use of the Site and to respond to Users’ inquiry or request; (f) to assist Jobber Hong Kong with developments for future marketing and promoting purposes or other internal purposes; (g) to verify the identity of Users who have posted advertisements, materials, representations, messages, views or comments or such other information (collectively “Information”) on the Site; (h) to identify Users who have viewed the Information posted on the Site; (i) to allow Users to enjoy their benefits as members of the Site by enrolling for special events and promotions hosted by Jobber Hong Kong and or its affiliates and or partner company; (j) to identify Users who have enjoyed their benefits as members of the Site by receiving and using marketing promotional materials; (k) to facilitate Jobber Hong Kong and/or its affiliates to use the Users’ personal data for the purposes relating to the provision of services offered by Jobber Hong Kong and marketing services and/or special event of Jobber Hong Kong and/or its affiliates; (l) to obtain statistics about Users to analyze usage of the Site in order to help its further development for internal use; and (m) for purposes other than the above mentioned which are related to Jobber Hong Kong’s and/or its affiliates’ provision of their product and/or services as Jobber Hong Kong may deem fit. 15.6 Job Advertiser who has a general policy of retaining personal data of an unsuccessful job applicant for future recruitment purpose should not retain such data for a period longer than two years from the date of rejecting the applicant unless (a) There is a suitable reason that obliges the clients to retain the data for a longer period (b) The Tasker has given prescribed consent for the data to be retained beyond two years
